1.) STOCKSEED SUPPLIED: Contractor
shall be supplied, at no charge, sufficient quantities of each
species of seed necessary to plant each 1,000 sq. foot block,
hereinafter "stock seed", and that seed will be received
by the contractor no later than October 1 of the sowing year that
the U.S. Government (hereafter "Government") contracts
for. If any seed lots are smaller than a sufficient quantity to
plant 1,000 sq. feet., a new price can be quoted for a smaller
area.
2.) STOCKSEED LOCATION DATA: Government shall identify original
location of where the wild plants were growing that each lot of
stock seeds originated from, as to the following: (a.) County,
(b.) Annual precipitation, (c.) Elevation, (d.) Latitude and Longitude,
and (e.) Soil type, if it is from an unusual soil type, like serpentine,
etc.
3.) STOCKSEED, MISCELLANEOUS: In no case shall the Government
supply to the contractor bulked stockseed from multiple original
in-situ locations. The Government will also indicate for each
lot of stock seed: if the seed was wild-land collected, or if
the stock seed was agriculturally reproduced. If the stock seed
was agriculturally reproduced, Government shall supply to the
contractor the following information: who reproduced the stock
seed and where, and the stock seed's production history (for each
generation: years, amounts, yields, etc.)
4.) GENETIC GELS AND SAMPLES: Contractor shall run a genetic
gel on each lot of seed received, as a reference; and each lot
produced from each generation shall have a genetic gel run. Information

5.) COMMON GARDEN STUDY: When multiple lots of the same species
is supplied by Government to the Contractor, the Contractor shall
include a "Common Garden" study at no extra charge,
which shall consist of a written report, indicating if the populations
appear genetically identical, or if there are obvious genetic
variations, if the multiple lots are planted in the same field
at the same time. Results of a previous common garden study of

6.) PAYMENT: On the annual seed lots ( like Vulpia microstachys)
, the Government will contract for a single year of production,
and with any perennial grass lots, the Government will contract
for a minimum of two years for each lot.
Contractor shall be paid in four equally-divided payments throughout
the first production year:
1.) After sowing, either directly into the ground, or when
stock seed has been planted to produce transplants, (2.)
when crop is established, (3.) when crop is harvested,
(4.) after crop is delivered. Contractor will invoice
the Government after completion of each of these four items, and
paid net 15 days.
During the second production year on perennials, Contractor shall be paid in three equally-divided payments throughout the year:
1.) After spring weeding and roguing, (2.) when crop is harvested, and (3.)
when the crop is delivered.
7.) PRODUCTION QUALITY: The Contractor shall apply his best
efforts to produce seed with high germination, high purity. Seed
will be produced with zero percent noxious weed seed, and Contractor
shall apply his best efforts to produce seed with as close to
zero percent of the following: (1.) weed seed, (2.) "other
crop" seed, and (3.) ergot bodies. Seeds will not be de-awned
or de-bearded.
8.) DELIVERY: Contractor shall deliver the entire seed
production of each lot to the Government, with the exception of
samples taken or kept for testing. The only exception to this
item is when the Government rejects any seed, then contractor
can sell that seed elsewhere, or contractor may use that seed
for any other purpose.
Seed will be delivered Free on Board (F.O.B.) San Mateo County,
California to the Government location as designated in the delivery
order. Any trucks shall be unloaded by Government personnel. The
cost of the bags, boxes, and shipping is extra.
9.) PACKING: Contractor shall deliver the seed produced
in 15# double-walled Kraft paper bags sewn at both ends, or cloth
bags, labeled at least with contractor's name and address, weight,
kind, location information, germination, purity, test date, seed
lot number, and contract number. Bags will not be poly-lined.
10.) REJECTION: The Government's only reason for rejecting
any individual bag of delivered seed production is if the seed
in a particular bag does not conform to the labeled standards;
and severability is the rule here, where rejection of one bag
or a portion of the production of a particular lot of seed does
not allow for rejection of the entire production.
11.) INSPECTION OR PROSECUTION OF WORK: The Government
will have no right to visit or inspect the growing grounds or
crops at any time during the performance of the contract. Contractor
shall provide the Government with a field map or drawing showing
the location of all ordered seed lot within 30 days of sowing
or planting out of transplants (proof of crop establishment),
as an attachment to the invoice for payment.
Both parties recognize that the contractor's plant, method of
operations, and forces employed, growers, subcontractors and growing
grounds are trade secret and confidential commercial intellectual
properties, which give each seed company an economic and competitive
advantage against their competition. The Government has no right
as to the approval of the use of any of these items, nor have
any right in selecting the sequence in which individual projects
are completed.
Contractor, in lieu of inspection, shall post on an internet
website accessible to both the Contracting officer and the
Government manager ordering the seeds to be grown, photographs
taken of each production plot taken the first week of each month
throughout the year, so Government can follow the progress of
each crop.
12.) TRADE SECRETS AND CONFIDENTIAL COMMERCIAL INFORMATION : The
Government will not have the right to obtain any information about
the methods of planting, cultivation, harvesting, cleaning, or
any manner of production or processing of the crop, including
sowing dates and rates, agronomic practices, watering, fertilization,
weed control, dates of fertilization, fungicide treatments, water
application, water duration or amounts, harvest methods, seed
conditioning methods, or problems encountered during the growing,
harvest and conditioning of the seed.
Both parties recognize that all the previously listed items
are all trade secret, confidential commercial information, and
potentially patentable intellectual properties, which give each
seed company an economic and competitive advantage against their
competition.
13.) ISOLATION DISTANCES: Government will advise Contractor
as to what standards for isolation distances that contractor is
to maintain for genetic purity, to keep different lots of the
same species from cross pollinating.
14.) SUBCONTRACTORS: Contractor will utilize one or more
subcontractors to grow, harvest, condition, weigh, bag and store
seed.
15.) STRAW: The contractor shall not offer the straw from
this contract's production for sale to the Government. However,
the straw, if available, may be made a part of a separate contract.
16.) PROCESSING AND BAGGING: All processing and bagging
of seed shall be completed within 100 days of harvest, unless
weather, downtime by equipment failures, Strikes, Acts of War,
Power outages or shortages, Acts of Terrorists, Executive Orders,
Martial Law, Acts of God, etc. require additional time. Contractor
will notify Government if there are to be delays.
17.) SECTION C- DESCRIPTION/SPECIFICATION/WORK STATEMENT:
a.) Fields shall be located within San Mateo County, unless Contractor notifies Government to the contrary.
b.) Contractor shall pay for all seed testing fees at a certified seed laboratory of Contractor's choosing.
c.) Seed lot identification: there will be Field markers, a Field map and seed shall be planted into prepared ground in distinct rows.
d.) There will be rouging of weeds and other crops.
e.) Government will have 30 days to respond to Contractor's emailed notice to plow any lot, either after harvest, or in the case of establishment failure, or for any other reason. If Government does not respond within 30 days, the Government has waived their right to that lot, and Contractor will be able to plow.
f.) Fields shall be managed in such a condition so that seed lot purity is maintained, according to the standards set by the Government.
g.) Seed will be harvested as conditions allow and placed in storage.
h.) Seeds with noxious weeds must be recleaned and noxious weeds removed.
i.) Government shall receive the finished seed within 30 days once it is ready for delivery, and Contractor shall not be responsible for storage of the seed beyond 30 days.
